Dropship Partner Terms

These terms govern the relationship between Iazain LLC ("NexGenFind," "we," "us") and any approved reseller or dropship partner ("Partner") who lists NexGenFind products for sale in their own store.

1. Relationship

Partner operates as an independent reseller. Nothing in this agreement creates an employment, joint venture, or exclusive distribution relationship. NexGenFind may work with multiple partners simultaneously and does not guarantee territorial or category exclusivity.

2. Pricing

NexGenFind provides Partner with wholesale/supplier pricing for approved catalog items. Partner sets its own retail price to end customers. NexGenFind reserves the right to update wholesale pricing with 14 days' notice.

3. Order Fulfillment

  • NexGenFind processes Partner orders within 1–2 business days and ships via ground service (USPS/UPS), consistent with our standard Shipping Policy.
  • Orders ship in plain, unbranded packaging with no NexGenFind branding, invoices, or pricing visible to the end customer, unless Partner requests otherwise.
  • NexGenFind is not responsible for delays caused by carrier issues, incorrect shipping information provided by Partner, or force majeure events.

4. Product Authenticity & Representation

All products supplied are authentic and sourced through legitimate distribution channels. Partner may not represent products as counterfeit-free "designer dupes" using a named designer brand in a way that implies affiliation or endorsement by that designer brand. Partner is responsible for ensuring its own product listings comply with applicable advertising and trademark laws.

5. Returns & Refunds

  • End-customer returns for unopened, sealed fragrance items follow NexGenFind's standard Returns & Refunds Policy (30-day window on sealed items; final sale once opened, except for damaged/incorrect items).
  • Partner is responsible for handling the initial customer service interaction with its own end customers, then forwarding valid return/refund requests to NexGenFind at info@iazain.com with the order reference.
  • NexGenFind will process approved refunds back to Partner (or directly to the end customer via Partner's platform, where supported, such as Shopify Collective).

6. Inventory & Availability

NexGenFind updates inventory availability as accurately as possible but does not guarantee uninterrupted stock. NexGenFind is not liable for cancelled orders due to out-of-stock items, though we will notify Partner promptly when this occurs.

7. Termination

Either party may terminate this partnership at any time with written notice via email. NexGenFind may suspend or terminate a Partner relationship immediately for misrepresentation of products, trademark infringement, chargebacks/fraud, or repeated customer complaints.

8. Limitation of Liability

NexGenFind's liability to Partner under this agreement is limited to the value of the affected order(s). NexGenFind is not liable for indirect, incidental, or consequential damages arising from the partnership.
